Services
Hedge Advisory and Structuring
Know your options and the associated risks and rewards. Evercrest tailors its approach to understand your hedging goals and has the tools and experience to implement a hedging strategy best suited for you.
Procurement and Execution
Execution matters. Whether via competitive bid or a negotiated procurement, we administer an efficient, well-organized hedge procurement process designed to achieve superior results for our clients.
Interest Rate Caps
Interest rate caps are at the core of our practice. For floating-rate loans that require caps, our borrower-clients trust us to obtain the best pricing and cap documentation that fully meets the lender’s requirements. We have deep experience with agency cap transactions for Fannie Mae and Freddie Mac floating-rate multifamily loans, where the cap requirements are particularly prescriptive: specific strike rate thresholds tied to DSCR underwriting, counterparty rating requirements, replacement cap reserve funding, and documentation that must conform to agency standards. Whether you are purchasing a cap on a conventional bank loan or an agency execution, we manage the process from structuring and pricing through closing.
Documentation Review & Negotiation
Despite what many banks will tell you, ISDA agreements are not “standard” and should often be tweaked for your protection. Evercrest can help level the playing field when it comes to negotiating derivative documentation and loan documents.
Dodd-Frank Compliance
LEI, QFC, ECP, IRMA, QIR… The regulatory landscape is constantly evolving as it relates to compliance with over-the-counter derivatives. We can help.
Tax-Exempt/Municipal Advisory Services
Evercrest serves as a Qualified Independent Representative (QIR) and Independent Registered Municipal Advisor (IRMA) for a wide range of tax-exempt borrowers. Our clients include state housing finance agencies across the country, affordable housing developers executing 4% LIHTC bond transactions, commercial real estate developers and asset managers, nonprofit hospitals and health systems, colleges and universities, municipal governments and public utilities, other nonprofit and 501(c)(3) organizations. We bring deep public finance experience and a practical approach to every engagement.
Hedge Effectiveness Testing
Evercrest performs hedge effectiveness testing services in line with GASB 53/72 standards for governmental clients and ASC 815/ASC 820 for nonprofit and corporate entities. All the major auditing firms are familiar with our work.
Capital Markets Expertise
Our team brings broad capital markets expertise to every client engagement. We provide bond pricing advisory services for negotiated bond transactions and advise on all types of debt products. For smaller nonprofits and other borrowers who may not access the public bond market, we also provide guidance on private loan transactions, helping clients evaluate term sheets, understand pricing, and negotiate with lenders from a position of knowledge. We also advise on structured products including total return swaps, particularly in the healthcare sector. Whether you are issuing tax-exempt bonds, closing a bank loan, or evaluating a private placement, Evercrest can help you understand your options and achieve the best available terms.
About Evercrest
Evercrest is here to serve you. Our team brings a combination of Wall Street experience and decades of independent advisory expertise to every engagement. Having spent years at major investment banks structuring and pricing derivative products, we have an inside understanding of how swap desks operate, how they price transactions, and where there is room to negotiate. Combined with over twenty years of experience advising borrowers on the other side of those transactions, we bring a perspective that few advisory firms can match. We work with clients of all sizes, from state housing finance agencies managing multibillion-dollar bond programs to nonprofit organizations and middle-market companies entering into their first interest rate swap. Our involvement spans the full lifecycle of a hedging transaction: developing the right hedging strategy for your goals and risk profile, identifying and evaluating potential swap counterparties, opening swap trading accounts and navigating the associated regulatory and documentation requirements, reviewing and negotiating ISDA Master Agreements and related legal documents, and achieving the best possible economics on your hedge, whether through a competitive procurement process or direct negotiation with a single counterparty. We bring the same level of independent, rigorous advice to every engagement regardless of size or complexity.
